Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Handover platform (the "Service"), provided by Handover Australia Pty Ltd (ACN pending), an Australian company based in Mermaid Beach, Queensland ("Handover", "we", "us"). By creating an account or using the Service you agree to these Terms.
1. The Service
Handover provides cloud software for Australian building & pest inspectors to send booking links to their clients, collect signed agreements, raise invoices via Xero, create Google Calendar events, and send transactional email. You remain the inspector of record and are responsible for the actual inspection work; we are a tool, not an inspection service.
2. Your account
- You must be at least 18 years old, operate a legitimate Australian inspection business, and provide accurate signup details.
- You're responsible for keeping your password confidential and for every action taken under your account.
- You may not share a single account across multiple inspectors. Multi-inspector support is a paid add-on when available.
- Notify us at support@handover.au immediately if you suspect unauthorised access.
3. Subscription & fees
- Free trial: 7 days, beginning the moment you sign up. A valid payment method is required at signup but no charge is made until the trial ends. Cancel any time during the trial and you will not be billed.
- Subscription: AUD $99 per month, inclusive of GST, billed by Stripe Payments Australia Pty Ltd.
- Billing cycle: each period starts on the day you subscribe and renews automatically on the same day each month.
- Cancellation: cancel anytime from the Stripe customer portal (linked from your dashboard) or by emailing support@handover.au. Your access continues until the end of the current billing period.
- Refunds: fees already charged are non-refundable except where required by Australian Consumer Law.
- Price changes: we may adjust the subscription price with at least 30 days' notice by email.
4. Your content & client data
When you use Handover to send a booking link, the client you're inspecting submits personal information (name, email, mobile, property address, signature). That information belongs to your client. Under the Privacy Act 1988 (Cth) you are the data controller and we are your data processor — we store and transmit that data under your instructions as part of operating the Service.
- You warrant that you have the right to provide us with client data and that the client has been informed the data is being handled electronically.
- Inspection agreement. For Building, Timber Pest, and Building & Pest inspections, Handover ships a default agreement aligned with the relevant Australian Standards (AS 4349.1 for property and AS 4349.3 for timber pest). You may rely on the default or override it by uploading your own insurer-approved PDF per inspection type. Whichever is active is what your client reviews and signs. You remain responsible for verifying the agreement suits your insurance policy and your scope of work; Handover provides the default text as a starting point, not as legal advice. For Pool Safety inspections, no default is provided — state-specific legislation (QLD Form 23 / Form 17, NSW E1 / E2, VIC Form 23, etc.) means you must upload your own PDF. If you haven't, the booking page falls back to a notice that the agreement will be supplied separately.
- Setup prerequisites. Before you can send a booking link, you must complete three setup steps: upload a business logo, connect a Xero organisation, and connect a Google account (Calendar + Gmail). The Service blocks new-booking creation until these are complete so every client receives a polished, branded booking page.
- We will not sell, share, or use your clients' data for any purpose other than operating the Service.
- You may export your data (bookings CSV) or request deletion at any time via support@handover.au.
5. Third parties
The Service connects to these third parties on your behalf. Their terms apply to the data they receive:
- Xero — invoices created in your Xero organisation, on your behalf
- Google (Gmail + Calendar) — calendar events created and confirmation emails sent from your Google account. Handover also creates and applies Gmail labels (a parent Handover label and per-client child labels in the form Handover ▸ Client name — address) on emails sent through your account so your inbox stays organised. Handover never holds your client's data on our own Google account.
- Stripe — two flows: (a) subscription billing for your Handover monthly fee, and (b) optional Stripe Connect Express that lets your clients pay you directly at booking time (funds settle to your AU bank, T+1; Handover takes no platform fee on those payments)
- Resend — transactional email Handover sends you (password resets, welcome, trial warnings, system notifications)
- Cloudflare — hosts the Service (Workers, D1 database, R2 object storage). Australia-first edge routing.
- ClickSend — optional SMS for the renewal engine; only used when you have configured your own ClickSend account (your account is billed directly, not via Handover)
6. Acceptable use
You agree not to:
- Use the Service to send spam, scams, or unsolicited marketing.
- Use the Service for any purpose other than lawful Australian building/pest inspection business.
- Attempt to reverse-engineer, resell, or sublicense the Service.
- Upload anything that is illegal, infringing, or likely to cause harm.
We may suspend or terminate your account for breach, with notice where practical.
7. Uptime & support
We aim for 99.5% monthly uptime and respond to support emails within two business days. We do not offer a formal SLA with credits. Scheduled maintenance is communicated in advance where possible.
8. Intellectual property
Handover, the gum-leaf mark, and the Service itself remain our property. You retain all rights to your business content (logo, business details, terms & conditions, client data). You grant us a limited licence to display your business content as required to operate the Service.
9. Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties beyond those guaranteed by the Australian Consumer Law.
- Our total liability to you for any claim is capped at the fees you've paid us in the 12 months preceding the claim.
- We are not liable for indirect, consequential or incidental loss — including lost profits, lost data, or business interruption.
Nothing in these Terms excludes any non-excludable rights you have under the ACL.
10. Termination & suspension
Either party may terminate this agreement at any time. You can cancel via the Stripe customer portal or by emailing us. We may suspend or terminate your account immediately for breach of these Terms, illegal use, or non-payment. On termination, you remain liable for any fees owed up to that date, and you can request export of your data within 30 days before it is purged (subject to the retention rules in our Privacy Policy).
11. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including (without limitation) acts of God, natural disasters, internet outages, third-party service failures (Cloudflare, Stripe, Xero, Google, Resend, ClickSend), labour disputes, or government action. We will use reasonable efforts to mitigate the impact and resume the Service as soon as practicable.
12. Severability & entire agreement
If any clause of these Terms is found invalid or unenforceable, the remaining clauses continue in full force. These Terms (together with our Privacy Policy) constitute the entire agreement between you and Handover and supersede any prior representations or oral agreements about the Service.
13. Governing law
These Terms are governed by the laws of Queensland, Australia. The courts of Queensland have exclusive jurisdiction to hear disputes.
14. Changes
We may update these Terms. Material changes will be notified by email at least 14 days before they take effect. Continued use after that date constitutes acceptance.
